These Terms of Service ("Terms") govern access to and use of Angel Answers, including our websites, AI-powered telephone answering services, call routing, notifications, dashboards, and related services (collectively, the "Service").
Angel Answers is operated by ANGEL ALWAYS ANSWERS, doing business as Angel Answers ("Angel Answers," "we," "us," or "our").
By creating an account, starting a free trial, purchasing a subscription, or otherwise using the Service, you agree to these Terms.
Angel Answers is designed for use by businesses and organizations.
If you create or use an account on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms. In that case, "you" and "Customer" refer to that organization.
Angel Answers provides an artificial-intelligence-powered telephone answering and call-management service.
Depending on the Customer's configuration, the Service may:
Features may change as the Service evolves.
Customer understands that Angel Answers uses artificial intelligence and automated systems.
Artificial intelligence can misunderstand callers, incorrectly interpret information, generate inaccurate summaries, fail to recognize an emergency, or otherwise make errors.
Angel Answers does not guarantee that AI-generated information, transcripts, classifications, summaries, routing decisions, or responses will always be accurate or complete.
Customer is responsible for determining whether the Service is appropriate for its business and for reviewing and configuring the Service appropriately.
Angel Answers is not a 911 service, emergency dispatch center, alarm-monitoring service, medical provider, or public-safety answering point.
Customer must not represent Angel Answers as a replacement for 911 or another emergency service.
The Service may attempt to identify urgent calls and contact technicians, managers, owners, or other persons designated by Customer. However, Angel Answers does not guarantee that:
Customer is responsible for maintaining appropriate emergency procedures and ensuring that its designated contacts and escalation information remain accurate and current.
Customer is responsible for the information and instructions supplied to Angel Answers, including:
Customer must maintain accurate and current information.
Angel Answers is not responsible for failures resulting from inaccurate, incomplete, outdated, or incorrectly configured Customer information.
Customer represents and warrants that it has the legal authority to provide Angel Answers with telephone numbers, email addresses, and other contact information entered into the Service.
Customer is responsible for obtaining any consent required by applicable law before directing Angel Answers to automatically call, text, email, record, or otherwise communicate with employees, contractors, technicians, customers, or other persons.
Customer must promptly remove or update contact information when a person should no longer receive communications from the Service.
Customer may not use Angel Answers to conduct unlawful telemarketing, send spam, harass individuals, or otherwise violate applicable communications laws.
The Service may record, transcribe, analyze, or otherwise process telephone conversations in order to provide call answering, summaries, quality assurance, routing, escalation, and related functionality.
Laws governing telephone recording and monitoring vary by jurisdiction.
Customer is responsible for determining and complying with all laws applicable to its calls, including providing any required notice and obtaining any required consent from callers or other participants.
Customer represents that its use of call recording, transcription, monitoring, and AI processing through Angel Answers is lawful.
Customer is responsible for maintaining the confidentiality and security of its account credentials.
Customer is responsible for activity occurring through its account and must promptly notify Angel Answers if it believes an account has been compromised.
Customer may only provide account access to authorized users.
Unless otherwise stated at signup, new Customers may receive a 30-day free trial.
A valid payment method may be required to begin the trial.
The recurring subscription fee is waived during the free-trial period. Unless expressly stated otherwise during signup, usage charges exceeding the included usage described below may still apply during the trial.
Unless Customer cancels before the end of the trial, the subscription will automatically convert to a paid monthly subscription at the price disclosed when Customer enrolled.
Cancellation may be completed through the Customer account or another cancellation method provided by Angel Answers.
Subscriptions are billed monthly unless another billing term is expressly agreed to.
The subscription automatically renews at the end of each billing cycle until canceled.
The applicable subscription price will be displayed at signup or otherwise agreed to by Customer.
By providing a payment method and activating a subscription or free trial, Customer authorizes Angel Answers and its payment processors to charge:
The 30-day trial and each monthly billing cycle each include usage up to the first of the following thresholds to occur:
250 calls; or
150 total minutes of call time.
The included usage ends when either threshold is reached, whichever occurs first.
The 150-minute allowance applies to new trials and new billing cycles after this update takes effect. A trial or billing cycle that was already open keeps its original 200-minute allowance until that period ends.
Once either the 250-call threshold or the 150-minute threshold is reached, additional call time during the remainder of that trial or billing cycle will be charged at:
$0.50 per additional minute. Minimum $0.50 per call
For clarity, reaching one threshold triggers usage billing even if Customer has not reached the other threshold.
For example:
The trial has one included allowance. Usage resets when the trial ends and at the beginning of each new monthly billing cycle, using the subscription's actual billing dates rather than the first day of the calendar month.
Included calls and call time are inbound calls answered by Angel. Outbound dispatch calls and SMS notifications do not consume that allowance. If an inbound call crosses the included-minutes threshold, only the time beyond that threshold is chargeable. Fractional additional minutes are prorated to the nearest cent, subject to the $0.50 minimum for each call with additional usage.
Usage is measured using Angel Answers' system records and the records of its telecommunications and technology providers. Those records will control for billing purposes absent a demonstrated error.
Usage charges are billed to the payment method on file at the end of the trial or monthly billing cycle, or when the subscription is canceled. The recurring subscription fee remains waived during the trial; only usage beyond the included allowance is chargeable.
Customer authorizes Angel Answers to automatically charge applicable usage fees without requiring separate approval for each usage charge.
Prices do not include taxes unless expressly stated otherwise.
Customer is responsible for applicable sales, use, telecommunications, or other taxes or governmental charges associated with the Service, except taxes imposed on Angel Answers' income.
Customer may cancel its subscription through the cancellation functionality provided in its account or through another cancellation method made available by Angel Answers.
Cancellation stops future automatic renewal.
Unless otherwise stated, Customer may continue using the Service through the end of the then-current paid billing period.
Cancellation does not eliminate charges already incurred, including usage charges incurred before cancellation.
Except where required by law or expressly agreed otherwise, subscription and usage payments are nonrefundable.
Angel Answers may issue refunds or credits in its discretion.
If a payment cannot be completed, Angel Answers may retry the payment method, request updated payment information, restrict Service functionality, suspend the account, or terminate the account.
Customer remains responsible for charges properly incurred before suspension or termination.
Customer may not use the Service:
Customer retains ownership of information, instructions, business content, and other materials Customer provides to Angel Answers.
Customer grants Angel Answers a limited right to process that information as reasonably necessary to operate, maintain, secure, support, and improve the Service and to fulfill Customer's instructions.
Customer represents that it has the rights and permissions necessary to provide such information to Angel Answers.
Our collection and processing of personal information is further described in the Angel Answers Privacy Policy.
Angel Answers and its licensors retain all rights in the Service, including software, AI configurations, workflows, designs, trademarks, logos, documentation, and other proprietary technology.
These Terms do not transfer ownership of Angel Answers intellectual property to Customer.
Angel Answers relies on third-party services that may include telecommunications carriers, artificial-intelligence providers, cloud hosting providers, payment processors, email providers, SMS providers, analytics services, and other technology vendors.
Angel Answers is not responsible for interruptions or failures caused by third-party networks or services outside our reasonable control.
We may modify, update, add, remove, suspend, or discontinue features of the Service.
We do not guarantee uninterrupted or error-free availability.
We may perform maintenance or temporarily restrict access when reasonably necessary for security, system integrity, maintenance, legal compliance, or other operational reasons.
Angel Answers may suspend or terminate an account if Customer:
Where reasonably practicable, we will attempt to provide notice and an opportunity to correct the issue before termination.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."
ANGEL ANSWERS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED AVAILABILITY.
ANGEL ANSWERS DOES NOT WARRANT THAT THE SERVICE WILL CAPTURE EVERY CALL, IDENTIFY EVERY EMERGENCY, PRODUCE ERROR-FREE AI RESPONSES, OR SUCCESSFULLY REACH EVERY DESIGNATED CONTACT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANGEL ANSWERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOST DATA, OR BUSINESS INTERRUPTION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANGEL ANSWERS' TOTAL LIABILITY ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT CUSTOMER PAID TO ANGEL ANSWERS DURING THE THREE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
These limitations do not apply where prohibited by law.
Customer agrees to defend, indemnify, and hold harmless Angel Answers and its owners, employees, contractors, and affiliates from claims, damages, liabilities, costs, and reasonable attorneys' fees arising from:
We may update these Terms from time to time.
If a change materially affects an existing subscription, we will provide notice when required by applicable law.
Continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
Unless applicable law requires otherwise, disputes arising from these Terms or the Service will be brought in the appropriate state court located in Del Norte County, California, or the applicable federal court serving that county.
If any provision of these Terms is held unenforceable, the remaining provisions remain in effect.
Failure to enforce a provision does not waive our right to enforce it later.
Customer may not assign these Terms without our consent except in connection with a merger, acquisition, or sale of substantially all of Customer's business or assets.
Angel Answers may assign these Terms in connection with a reorganization, merger, acquisition, financing, or sale of its business.
